I write to request prompt reconsideration of the Borough’s denial of request Item 3 (“final settlement agreements, repayment agreements, or written arrangements … relating to repayment of academy training costs … SLEO Class I or II training, 1/1/2024–present”), which the Borough denied solely as “Exempt pursuant to N.J.S.A. 47:1A-10 Personnel Records.”

OPRA requires disclosure of government records unless a lawful exemption applies, and limitations are construed in favor of access. The Legislature declared that government records “shall be readily accessible for inspection, copying, or examination by the citizens of this State,” and that any limitation on access must be interpreted narrowly in favor of transparency. N.J.S.A. 47:1A-1. The Borough bears the burden of proving any denial is authorized by law and must state the specific basis for withholding; generalized invocations of exemptions are not sufficient. See Asbury Park Press v. County of Monmouth, 406 N.J. Super. 1, 6 (App. Div. 2009); see also MAG Entertainment, LLC v. Division of Alcoholic Beverage Control, 375 N.J. Super. 534, 546-47 (App. Div. 2005) (holding that conclusory assertions of exemption are insufficient and that custodians must provide a meaningful explanation enabling review of the denial).

Item 3 seeks final, executed agreements governing repayment of academy training costs—documents that function as contracts and reflect the Borough’s handling of financial obligations connected to public employment. Contracts are among the categories of records ordinarily subject to immediate access under OPRA. N.J.S.A. 47:1A-5(e). Agreements resolving employment-related obligations or repayment responsibilities arising from government training programs likewise function as contractual records reflecting the terms under which a public employee’s obligations to the municipality are defined.

Further, the Borough’s reliance on N.J.S.A. 47:1A-10 as a categorical bar is inconsistent with controlling precedent from the New Jersey Supreme Court. In Libertarians for Transparent Government v. Cumberland County, 250 N.J. 46 (2022), the Court addressed whether a public entity could withhold an employment-related settlement agreement in its entirety by labeling it a “personnel record.” The Court rejected that position and held that OPRA does not permit wholesale withholding of such agreements merely because they arise from a personnel matter. Rather, the Court emphasized that Section 10 itself expressly requires disclosure of certain personnel information—including an employee’s name, title, position, length of service, date of separation, and reason for separation—and that where such statutorily disclosable information appears within a document, the document cannot be categorically withheld.

The Court therefore held that the settlement agreement had to be produced with appropriate redactions, explaining that OPRA entitles requestors to obtain the actual record itself, subject only to redaction of legitimately exempt information. The Court specifically rejected the notion that an agency may substitute a narrative summary of the record for the document itself. See Libertarians for Transparent Government v. Cumberland County, 250 N.J. 46, 56-57 (2022).

This principle applies with equal force here. Agreements concerning repayment of academy training costs necessarily identify the employee involved, the terms of the obligation, the timing and conditions of repayment, and the circumstances under which repayment is triggered or waived. Such agreements therefore contain the very categories of personnel information that Section 10 itself identifies as disclosable. The presence of personnel-related content does not transform the entire document into an exempt record.

Moreover, even when portions of a record are exempt, OPRA expressly mandates segregability. The statute provides that where a record contains both exempt and non-exempt information, the custodian must redact the exempt portions and “promptly permit access to the remainder of the record.” N.J.S.A. 47:1A-5(g). The New Jersey Supreme Court has repeatedly enforced this requirement, explaining that OPRA favors disclosure through redaction rather than categorical withholding whenever reasonably possible. See Kovalcik v. Somerset County Prosecutor’s Office, 206 N.J. 581, 593-95 (2011).

Government Records Council decisions similarly reiterate that a custodian may not deny access to an entire record simply because some portion of it may be exempt; rather, the custodian must identify the specific portions claimed to be exempt and release the remainder with redactions. See, e.g., Paff v. Galloway Township, GRC Complaint No. 2007-272 (holding that blanket denials are improper where redaction can reasonably segregate exempt material).

Accordingly, please do one of the following within a prompt, date-certain timeframe:
1. Produce the responsive Item 3 agreements in redacted form, redacting only information that is exempt by statute (e.g., personal identifiers such as home addresses, personal phone numbers, Social Security numbers, banking or payment information), while disclosing all non-exempt terms of the agreements, including at minimum the existence of each agreement, the date of execution, the parties involved in their official capacities, the amount of any repayment obligation, and the applicable repayment terms.

2. If the Borough continues to withhold any responsive Item 3 record in whole or in part, provide a written, itemized explanation sufficient for meaningful review, including:
• identification of each withheld agreement by date and general description (without revealing exempt content),
• the precise legal basis for each withholding or redaction, including citation to the specific statutory provision or controlling precedent relied upon, and
• an explanation of why OPRA’s segregability mandate under N.J.S.A. 47:1A-5(g) does not permit disclosure of a redacted version of the record.

In addition, this request invoked both OPRA and the common law right of access. OPRA does not displace the common law right, which remains an independent basis for disclosure subject to a balancing of interests. See Mason v. City of Hoboken, 196 N.J. 51, 67-68 (2008). Under the common law standard, once the requested documents are shown to be public records and the requestor demonstrates a legitimate interest in access, the burden shifts to the public agency to demonstrate that its interest in confidentiality outweighs the public interest in disclosure.

Agreements governing repayment of publicly funded police training involve the administration of public employment and the financial obligations imposed on individuals trained at public expense. The public interest in transparency concerning such agreements—including the conditions under which repayment is required, waived, or enforced—is substantial. If the Borough contends that disclosure should nevertheless be denied under the common law right of access, please provide the Borough’s written balancing analysis identifying the specific confidentiality interests asserted and explaining why those interests outweigh the public interest in disclosure.

Nothing in this letter should be construed as narrowing Item 3; rather, it reiterates that partial disclosure through redaction is the legally required approach where feasible.

Please treat this correspondence as a request for reconsideration and clarification of the Borough’s denial.

The request sought access to the following records:

Please accept this electronic request for public records made under OPRA
and the common law right of access. I am not required to fill out an
official form or use a particular software platform to submit my request
per NJSA 47:1A-6(f), which states that an email from a requestor including
all of the information required on the adopted form shall suffice in place
of a completed form as a valid government record request.
I HAVE NOT been convicted of any indictable offense under the laws of New
Jersey, any other state, or the United States.I WILL NOT use the requested
government records for a commercial purpose.I AM NOT seeking records in
connection with a legal proceeding
Records requested:
1. Accounting and receipt records Any accounts receivable ledger entries,
accounting system transaction records, receipt records, or other financial
records reflecting the Borough’s receipt of funds categorized, described,
or coded as reimbursement, repayment, or recovery of academy training
costs or expenses under any Special Law Enforcement Officer Class I or
Class II reimbursement agreement, for the period January 1, 2024 through
present.
2. Written repayment demands or notices Any formal written demand letters,
repayment notices, invoices, or written communications issued by the
Borough or Borough counsel to any Special Law Enforcement Officer Class I
or Class II seeking repayment pursuant to a reimbursement agreement, dated
January 1, 2024 through present.
3. Settlement or repayment agreements Any final settlement agreements,
repayment agreements, or written arrangements executed between the Borough
and any individual relating to repayment of academy training costs or
reimbursement obligations associated with Special Law Enforcement Officer
Class I or Class II training, dated January 1, 2024 through present.
4. Templates, form agreements, and written policies Any blank, template,
model, form, or standard versions of repayment agreements, demand letters,
settlement agreements, or written policies, directives, or procedures used
by the Borough in connection with reimbursement of training costs for
Special Law Enforcement Officer Class I or Class II positions, including
any current or prior versions in use during the period January 1, 2024
through present.

not the custodian of records, please forward my request to that person and
provide their email address to me for future reference.
If any responsive records contain personal identifying information, I
